International Society for Holistic Health CONSTITUTION
ARTICLE I: Name
The name of the Society shall be the:
International Society for Holistic Health (ISHH)
ARTICLE II: Vision, Goals and Objectives
SECTION 1: The vision of the ISHH is to promote holistic health awareness among health care providers, organisations and the general public.
SECTION 2: The objective of the ISHH is to foster and stimulate the highest quality of health care provision in all communities. Holistic health care is defined as the art and sciences of healing the whole person – body, mind and spirit – by integrating conventional and alternative therapies to prevent and treat disease in order to promote optimal health.
SECTION3: The ISHH will promote and encourage quality research and education to provide more evidence-based holistic health care.
SECTION 4: The ISHH will act as a resource for information in holistic health care and will establish liaisons with other professional organizations involved in health care.
ARTICLE III: Membership
SECTION 1: Anyone devoting a significant amount of time to holistic health care or interested in the field, is eligible for membership in the ISHH.
SECTION 2: Active members of the ISHH, with voting rights shall be assessed annual dues. Renewal notices will be sent annually. Membership fee will be 15 Euros per year. There will be no fees for students or supportive members. Changes in membership fee will require a majority vote at one of the ISHH meetings. Failure to pay dues annually will result in loss of active membership.
SECTION 3: ISHH members will have access to electronic mailing list, journal access for education and submitting of papers, access to website and discounted attendance fees at conferences sponsored by ISHH.
ARTICLE IV: Officers and Executive Committee
SECTION 1: An executive committee of 9 members govern the ISHH. They are elected by the annual meeting. The President, Secretary and Treasurer are elected by the committee members. The decisions of the Executive Committee are taken by a majority vote of the members present. At an equality of votes the President has the casting vote.
SECTION 2: The President shall serve a two-year term of office. The President is the chief executive officer of the ISHH. The President shall chair meetings of the Executive Committee, the annual and other meetings of the ISHH. The President shall appoint, with approval from the Executive Committee, members and chairs of any standing committees and appoint ad hoc committees. He or she is an ex officio member of all committees. Officers, other members of the Executive Committee, and chairs of other committees report to the President. The President shall not serve more than two consecutive terms.
SECTION 3: The Secretary and Treasurer shall be elected and serve a three year term. The Secretary does not automatically succeed to President. The Secretary shall maintain an accurate and current list of the membership, together with their addresses and other appropriate information. The Secretary shall receive updates of new members and welcome them into the ISHH with an email or letter. The Secretary shall notify the membership of the time, place and agenda of the annual and other meetings of the ISHH, see that minutes of the meetings including meetings of the Executive Committee are made and filed, receive interim and annual reports from all committees, and maintain these in a permanent file. The Secretary shall tally votes for office at elections and notify candidates of election to membership and changes in membership status. The Treasurer shall keep financial statements and bank account and receive payment of annual dues, prepare the annual financial report of income and expenditures, and shall send notices of annual membership dues to members.
SECTION 4: The other members of the Executive Committee shall serve a two-year term with a maximum of three consecutive terms. They will participate in the Executive Committee and therefore must be willing and capable of fulfilling program planning responsibilities for the annual meetings.
SECTION 5: All transactions of the Executive Committee shall be made public to the ISHH membership. The Executive Committee shall oversee all efforts to pursue the objectives of the ISHH as defined by the Constitution. It shall serve as a program committee and support the President and Secretary in their endeavors. It shall concern itself with the maintaining of the standards and the effectiveness of the Society. The President is the Chair of the Executive Committee. In his or her absence, the Immediate Past President or Secretary may be Chair Pro Tem.
SECTION 6: Ad Hoc Committees may be formed if approved by the Executive Committee.
SECTION 7: Any member of the Executive Committee who is unwilling or unable to attend two consecutive Executive Committee meetings is presumed to have resigned the office. The Committee may waive this requirement upon petition for extenuating circumstances.
ARTICLE V: Meetings
SECTION 1: The Executive Committee shall meet when there is a general meeting of the ISHH or conduct their business by telephone or electronic communication.
SECTION 2: There will be a general meeting of the ISHH once a year or at least every other year. Any ISHH business including elections will be held at this meetings in conjunction with the programming of continuing education on selected topics in holistic health care.
ARTICLE VI: Reporting Mechanism
SECTION 1: An annual report listing a) officers b) activities and minutes of meetings, and c) financial summary information will be filed annually with the office of the President and shared with the membership.
ARTICLE VII: Nominations and Elections
SECTION 1: Nominations for all elected offices shall be taken from the floor during the annual fall meeting. Nominations from members unable to attend the meeting may be submitted ahead of time to the Secretary via written format and officially presented during the meeting.
SECTION 2: Voting shall be at the annual meeting on a secret ballot. Only members present at the meeting may vote. The term of office spans between the meetings.
ARTICLE VIII: Signature and procuration
SECTION 1: Three members of the Executive Committee or the President and the Treasurer together have the signature of the ISHH. The Executive Committee may give procuration.
ARTICLE IX: Relations to other organisations
SECTION 1: The ISHH may be a member of other organisations working for the similar objectives.
ARTICLE X: Dissolution
SECTION 1: The ISHH can be dissolved
after a decision by a ¾ majority vote at the annual meeting. Possible
remaining assets are to be transferred to an organisation with similar
objectives to the ISHH. Copenhagen, November 1st, 2004
